Jean Nie Ho is a Partner in Dentons Rodyk’s Corporate practice group. She is also the Head of Environment, Sustainability and Governance practice. Jean Nie’s primary areas of practice include mergers and acquisitions, corporate reorganisations and restructurings, venture capital and private equity, employment matters, environmental, sustainability & governance, and general corporate commercial work. 

Experience

  • Satoro Pte. Ltd.: Acted for Satoro Pte. Ltd. with its founder and seed fundraising rounds, in which the company raised upwards of S$2.6 million in aggregate, as well as a group restructuring involving its acquisition of Satoro Taiwan Inc.. Satoro Pte. Ltd.is a Singapore-based start-up focused on providing satellite solutions and services for the purpose of space exploration.  
  • StoneBridge Acquisition Corporation ("Stonebridge"): Acted for Stonebridge, an Asia-Pacific focussed publicly traded special purpose acquisition company (SPAC), on the Singapore law aspects for the SPAC transaction leading to the signing of a binding business combination agreement with DigiAsia Bios Pte Ltd (“DigiAsia”), Indonesia’s Embeddable Fintech-as-a-Service (FaaS) company. Upon completion of the transaction, the combined company will be named DigiAsia and listed on NASDAQ under the ticker FAAS. The transaction values the combined company at a pre-money equity valuation of US$500 million. The Dentons team in Indonesia worked with the Singapore team and was also involved in advising Stonebridge on the Indonesia law aspects of the transaction.
  • Think & Learn Private Limited (Byju’s): Leading and advising on the Singapore law aspects of this transaction where India’s digital learning pioneer Byju’s acquired professional training and higher education platform Great Learning for $600 million, accelerating an acquisition spree to expand globally.
  • Tolaram Group (“TG”) and Tolaram Africa (“TA”), a subsidiary of TG: Assisting on a long-term joint venture between TA and NYSE-listed Kellogg Company (“KC”) to 1) create a partnership between TA and KC to develop snacks and breakfast foods for the West African market and 2) acquire 50% in the Multipro Group, a subsidiary of TG providing sales and distribution services in Nigeria and Ghana, for US$450 million (S$634 million). The partnership also provides KC the right to acquire a stake in TA at a later stage for an amount to be determined at the time of exercise of the right.
  • Trax Technology Solutions Pte. Ltd. (“Trax”): Assisting in a US$19.5m investment led by Investec Bank plc, part of the international specialist banking and asset management group listed on the London Stock Exchange (LSE: INVP) and the Johannesburg Stock Exchange (JSE:INL). With this latest round of funding, Trax has raised nearly US$100 million since being founded in 2010.
  • Jani Antero Rautianen and Stephen Nicholas Melhuish (Founders) and the minority shareholders: Assisting on the sale of certain existing shares and investment in PropertyGuru Pte. Ltd. for an aggregate consideration of S$175 million from private equity firm TPG, Australian-based venture capital firm Square Peg Capital and Indonesian-based PT Emtek. Previously assisted PropertyGuru in the S$60 million investment by ImmobilienScout24, a unit of German telecom giant Deutsche Telekom in 2012, one of the largest investments in an Asian start-up at that time.
  • King Abdullah University of Science and Technology Management Services Company (“KMSC”): Assisting on the US$1 million Series A investment by KMSC in Nomadd Desert Solar Solutions Pte. Ltd., a technology start-up developing the NO-water Mechanical Automated Dusting Device, which is a smart and ecological desert solar panel cleaning system.
  • Vertex Asia Fund (Singapore) Pte. Ltd. (”VAF”): Assisting on the US$4.76 million Series A2 investment led by VAF in Instarem Pte. Ltd., a fintech start-up involved in the development of an online cross border money remittance service.
  • Vertex Asia Fund (Singapore) Pte. Ltd. (”VAF”): Assisting on the US$3 million Series A investment led by VAF in Paktor Pte. Ltd., a technology start-up involved in the development of an online dating platform.
  • Vertex Asia Fund (Singapore) Pte. Ltd. (”VAF”): Assisting on the US$3.6 million (S$4.5 million) Series A2 investment led by VAF in Patsnap Pte. Ltd., a technology start-up involved in the development of a patents visualization and analytics platform.
  • Redmart Pte. Ltd.: Assisting on the S$5.4m fund-raising mezzanine round from various investors including Facebook co-founder Eduardo Saverin, PropertyGuru founders Steve Melhuish and Jani Rautianen, JFDI co-founder Meng Weng Wong, restaurateur Wee Teng Wen, and Lion Rock Capital.
  • HSE Holdings Pte. Ltd. (“HSE”): Assisting on the corporate aspects of the acquisition of the entire interest of Emerald Land Pte. Ltd. (Emerald), developer of the condominium development 111 Emerald Hill, a high-end residence located near Orchard Road shopping belt, from Mauritius fund Pallas 28 Investments Limited.
  • Yew Seng Heng Development Pte. Ltd.: Assisting on the acquisition of 100% of the issued share capital of QF10 Pte. Ltd., owner of certain industrial units, from QF Properties Pte. Ltd., a subsidiary of EH Property & Investments Pte. Ltd., which is in turn a 51%-owned subsidiary of Enviro-Hub Holdings Ltd.
  • Blakes Hotel Pte. Ltd.: Assisting on the acquisition of shares in an investment-holding company that owns Murray Terrace for a consideration price of approximately S$75 million.
