Josephine Koh is a Consultant in Dentons Rodyk and the firm’s ASEAN Clients & Markets Officer.

Josephine has more than 30 years of corporate experience, including 20 years of navigating and working in China, both as in-house counsel and private practitioner. Josephine has led and managed countless cross-border transactions, many of which involve extensive negotiations with parties in different jurisdictions, due diligence, as well as the structuring and advisory work to manage and close transactions. Her practice areas include corporate transactional work relating to mergers and acquisitions, cross-border joint ventures and many other foreign direct investment projects in various jurisdictions. Apart from transactions involving Chinese interests and businesses, Josephine also manages foreign and local investments into the South-east Asia regions.

As a senior lawyer with common law training and who has also spent more than a decade operating in the civil law jurisdiction, Josephine is efficient and confident as an important conduit for many multinational investments into and out of Singapore and also the region. Having served clients in countless cross-border transactions, Josephine is acutely aware of the often conflicting interests and variances in cultures and business mind-sets in such transactions.

Josephine participates actively as speaker in the seminars and conferences over the years held by various legal seminars as well as the trade industries and committees in Singapore, Malaysia, China, and India.

Josephine is proficient in English and Mandarin, and she is skilled in drafting, translating and negotiating both English and Chinese legal contracts and documents for clients.

Experience

  • Surbana Jurong: Acting in the acquisition of an architectural firm in Canada with subsidiaries across 8 jurisdictions in North America, the Middle East, China, India and South East Asia.
  • Wing Tai Holdings Limited: Acting in the disposal of equity interests in the issued share capital and shareholders' loans of its subsidiary for the consideration of S$270.8 million. 
  • Keppel China: Acting in the disposal of equity interests in a Chinese subsidiary holding a real estate project in China, by advising clients both in Singapore and China, and including simultaneous closing in 3 jurisdictions.
  • Mapletree Assets Pte Ltd: Acting for the funds in their disposal of real estate projects in China, by way of sale of equity interests in the wholly-owned companies in Hong Kong and/or China.
  • Mapletree Investments Pte Ltd: Acting in the acquisition of a real estate project in Beijing China, by way of purchase of equity interests.
  • Private Client: Acting in the disposal of equity interests in a Hong Kong listed company for the consideration of about HK$470 million.
  • Consortium: Acting for a US and Israeli consortium in Singapore that seeks investment in a high technology farm in Jiangyin, China.
  • Sungrow Power (S) Pte Ltd: Acting in the sale of equity interests in the company that holds solar power plants and projects in Vietnam.
  • Frasers Property Limited: Acting and advising on the structuring and mechanisms in the divestment of a property in Beijing, China, by way of sale of equity interests in a subsidiary.
  • Great Wall Group: Advising the Myanmar conglomerate that has foreign investments in various aspects, including financing, corporate and shareholder arrangements, joint venture, structuring and other investment matters.
  • Changi Airports International: Acting in its 1.08 billion yuan (S$214 million) acquisition of a 29% stake in Nanjing Lukou International Airport, China's fifth largest in terms of international cargo volume.
  • Private equity fund: Acting for a private equity fund from Shanghai to acquire 100% stake in a Singapore company for about S$50 million.
  • Mapletree Industrial Funds: Acting for the related companies of Mapletree Industrial Fund in their acquisition and divestment of assets or companies in Shanghai, Foshan and Jiangsu areas in China.
  • Raffles Education Corporation (REC): Acting in its acquisition of Shan Xi Education Investment Co. Ltd through its wholly-owned subsidiary in China for a purchase consideration of US$6.3 million.
  • Consortium: Acting for the consortium comprising Temasek Holdings, Keppel and Sing Holdings in the sale of an office building in Shanghai, China.
  • Frasers Centrepoint Limited and its Chinese subsidiaries: Acting in their investments and real estate projects in Shanghai, Kunshan, Beijing, Hainan, and Xian, China.
  • CapitaLand Ltd and its Chinese subsidiaries: Acting in various projects in China, including its acquisition of land and buildings and joint ventures with Chinese partners in Beijing, Shanghai and Chongqing.
  • Ascendas group: Acting in its acquisition properties in Shanghai and a research and development zone in Beijing, and other projects in China.
  • Wing Tai Holdings and its Chinese subsidiaries: Acting in their acquisitions of land and companies in Shanghai and other parts of China.
  • Q & M Dental Group, the largest private dental healthcare group in Singapore: Acting in its investments and expansion in various cities in China.
  • Parkway Holdings Ltd: Acting in its acquisition of interests in medical hospitals and clinics in China.
  • Raffles Medical Group: Advising in its acquisition of interests and investments in China.
  • Sembcorp Industrial Park: Acting in its joint venture in Guanxi, China to form the Singapore-Guanxi Industrial Park.
  • Singapore Food Industries Pte Ltd: Acting in its investments and joint venture in Jilin, China in the Jilin (Singapore) Modern Agricultural Cooperation Zone.
  • Singapore Mass Rapid Transport: Advising in its proposed joint venture and bid of projects in China.
  • ComfortDelgro: Acting in its divestments of businesses and assets in Shanghai, Suzhou and Zhengzhou.
