Junming Tong is a partner in our Corporate practice. He is also the Deputy Head of the Capital Markets practice. His practice focuses on real estate investment trusts and capital markets.

Junming has advised REITs on initial public offerings, real estate acquisitions and disposals, retail and convertible bond issues, updates of, and drawdowns under, medium term note and debt issuance programmes, bank financing transactions and ISDA documentation.

Junming has also advised issuers, arrangers, dealers and agents in the establishment and updates of, and drawdowns under, medium term note programmes, multicurrency trust certificates issuance programmes and certificates of deposit programmes.

Experience

  • RBC Investor Services Trust Singapore Limited as trustee of Lendlease Global Commercial REIT: Acted in the initial public offering (IPO) of Lendlease Global Commercial REIT raising gross proceeds of approximately S$1,027.8 million, and in connection with the IPO, the S$99.3 million and €285 million unsecured term loan facilities granted to the REIT.
  • HSBC Institutional Trust Services (Singapore) Limited as trustee of Starhill Global Real Estate Investment Trust: Acted for HSBC Institutional Trust Services (Singapore) Limited, as REIT trustee, in the establishment of Starhill Global REIT's S$2,000,000,000 multicurrency debt issuance programme.
  • Perpetual (Asia) Limited (as trustee of Elite Commercial REIT): Acted for Perpetual (Asia) Limited, as REIT trustee, in the initial public offering of Elite Commercial REIT raising gross proceeds of approximately £130.9 million.
  • The Hongkong and Shanghai Banking Corporation Limited, Singapore Branch and DBS Bank Ltd., as arrangers: Acting for the arrangers, and a syndicate of 26 dealers, in the update and upsize of the US$16 billion certificate of deposit programme of the Singapore branch of a PRC bank.
  • Loncin Holdings Co., Ltd.: Acting for Loncin Holdings Co., Ltd., as issuer, as to English and Singapore law in respect of its issue of CNY800 million 4.50% credit enhanced bonds due 2019 with the benefit of an irrevocable standby letter of credit provided by Industrial and Commercial Bank of China Limited, Chongqing Branch.
  • RBC Investor Services Trust Singapore Limited, as trustee of ESR-REIT: Acting in the merger of the stapled securities of Viva Industrial Trust and the units in ESR-REIT, via the acquisition by ESR-REIT of all the stapled securities held by the stapled securityholders of Viva Industrial Trust by way of a trust scheme of arrangement, and in connection with the merger, the unsecured facilities obtained from a syndicate of banks. This is the first merger of two listed REITs in Singapore. This deal won the M&A Deal of the Year (Midsize) at the 2019 Asian Legal Business SE Asia Law Awards.
  • RBC Investor Services Trust Singapore Limited as trustee of Lendlease Global Commercial REIT: Acting in the initial public offering (IPO) of Lendlease Global Commercial REIT raising gross proceeds of approximately S$1,027.8 million, and in connection with the IPO, the S$99.3 million and €285.0 million unsecured term loan facilities granted to the REIT.
  • Perpetual (Asia) Limited as trustee of Cromwell European Real Estate Investment Trust: Acting for Perpetual (Asia) Limited, as REIT trustee, in the initial public offering (IPO) of Cromwell European Real Estate Investment Trust (Cromwell REIT) raising gross proceeds of approximately €865.7 million, and in connection with the IPO, the €75 million unsecured revolving facility granted to Cromwell REIT by ING Bank. This is the first Euro-denominated REIT, the first pan-European commercial and logistics REIT and the largest REIT by portfolio size since 2013, listed on Singapore Exchange.
  • Perpetual (Asia) Limited, in its capacity as trustee of Cromwell European REIT: Acting for Perpetual (Asia) Limited, in its capacity as trustee of Cromwell European REIT, in relation to the renounceable rights issue of approximately 600.8 million new units in Cromwell European REIT to raise gross proceeds of approximately €224.1 million.
  • Perpetual (Asia) Limited, in its capacity as trustee of Keppel-KBS US REIT: Acting for Perpetual (Asia) Limited, in its capacity as trustee of Keppel-KBS US REIT, in in relation to the renounceable rights issue of approximately 186.2 million new units in Keppel-KBS US REIT to raise gross proceeds of approximately US$93.1 million.
  • Perpetual (Asia) Limited as trustee of Keppel-KBS US REIT: Acting for Perpetual (Asia) Limited, as REIT trustee, in the initial public offering (IPO) of Keppel-KBS US REIT raising gross proceeds of approximately US$553.1 million, and in connection with the IPO, the US$339.4 million unsecured term and revolving facilities granted to Keppel-KBS US REIT by various lenders. This is the second largest REIT IPO listed on the Singapore Exchange for 2017.
  • Perpetual (Asia) Limited: Acting as REIT trustee in the S$1.268 billion initial public offering of Frasers Logistics & Industrial Trust, and in connection with the initial public offering, the up to AU$620 million unsecured term and revolving facilities from various lenders.
  • Surbana Jurong Private Limited: Acting for Surbana Jurong Private Limited in relation to the subscription by its wholly-owned subsidiary, Surbana Jurong Capital (Aviation) Pte Ltd of S$300million in aggregate principal amount of fixed rate bonds due 2029 and 300million detachable warrants issued by Changi Airports international Pte. Ltd. The warrants are exercisable into shares in the capital of certain subsidiaries of the issuer.
  • Blue Ocean Resources Pte Ltd: Acting as Singapore counsel for Blue Ocean Resources Pte Ltd, as issuer, in the restructuring of its US$325,000,000 step up guaranteed secured notes due 2020 (the “Existing Notes”), by way of an exchange of the Existing Notes for (i) US$145,750,000 guaranteed secured notes (the “New Notes”) due 2021 guaranteed by PT Central Proteina Prima, the parent company of the issuer, and (ii) 92,890 zero coupon secured mandatorily exchangeable bonds (the “MEBs”) due 2022 exchangeable for series B ordinary shares of PT Central Proteina Prima.
  • Centurion Corporation Limited: Acting for Centurion Corporation Limited, as issuer, in the update of its S$500million multicurrency medium term note programme to a S$750million multicurrency debt issuance programme, allowing the issuer to issue both notes and perpetual securities.
  • ValueMax Group Limited: Acting for ValueMax Group Limited, as issuer, in the update of its S$300 million multicurrency medium term note programme, and the issue of its S$50million 5.10% fixed rate notes due 2021 pursuant to the programme.
  • DBS Trustee Limited, in its capacity as trustee of OUE Commercial REIT: Acting for DBS Trustee Limited, in its capacity as trustee of OUE Commercial REIT, in relation to the renounceable rights issue of 1,288,438,981 new units in OUE Commercial REIT to raise gross proceeds of approximately S$587.5 million.
  • DBS Trustee Limited: Acting as trustee of BHG Retail REIT in the initial public offering of BHG Retail REIT which raised approximately S$394.2 million, and in connection with the initial public offering, the S$148 million secured term loan facility with a syndicate of lenders.
  • The Trust Company (Asia) Limited: Acting as trustee of Frasers Hospitality Real Estate Investment Trust in the initial public offering of Frasers Hospitality Trust which raised approximately S$1.05 billion.
  • DBS Trustee Limited: Acting as trustee of OUE Commercial Real Estate Investment Trust ("OUE C-REIT") in relation to (i) the initial public offering of OUE C-REIT (the "IPO") raising gross proceeds of S$346.4 million, (ii) in connection with the IPO, a financing package in relation to OUE Bayfront comprising two secured term loan facilities and a revolving credit facility of an aggregate of S$680 million, and (iii) in connection with the IPO, a term loan onshore facility of RMB320 million in relation to Lippo Plaza.
  • DBS Trustee Limited: Acting as trustee of OUE Commercial REIT in the acquisition of an indirect effective interest of 67.95 percent in One Raffles Place for a purchase consideration of S$1.128 billion, and in connection with the acquisition, (i) the issue of 550 million convertible perpetual preferred units at an issue price S$1.00 per unit as part payment of the purchase consideration, (ii) the renounceable rights issue of approximately 393.3 million new units in OUE C-REIT raising gross proceeds of approximately S$218.3 million, and (iii) the secured term loan facility of S$360 million with various lenders.
