Sarah Ang is a Partner in Dentons Rodyk’s Corporate practice.

Sarah graduated from University College London in 2015, and was called to the Singapore Bar and admitted as an Advocate and Solicitor of the Supreme Court of Singapore in 2017.

Sarah’s main areas of practice include corporate finance, mergers and acquisitions and general corporate commercial transactions across a wide spectrum of industries including the financial services and education industry. She has been involved with numerous IPOs and her broader transactional practice includes private equity, advising on token offerings and generally matters involving blockchain and distributed ledger technology. Her experience also includes advising on license and regulatory requirements related with the Monetary Authority of Singapore. Sarah is effectively bilingual in English and Chinese.

Experience

  • Oversea-Chinese Banking Corporation Limited (OCBC): Acted as solicitors to OCBC in its establishment of its asset tokenisation platform, and the launch of the sale of bespoke tokenised bonds to corporate accredited investors. The tokenised bonds, which reference investment-grade bonds, are structured based on the client’s desired tenor and yield. They are then minted and transferred to the client’s wallet created on OCBC’s asset tokenisation platform.  
  • CGS International Securities Singapore Pte. Ltd.: Acted as solicitors to CGS International Securities Singapore Pte. Ltd., the issue manager in connection with the secondary listing of Helens International Holdings Company Limited (“Helens”) on the Main Board of the SGX-ST. Founded in 2009 and operating under the brand “Helen’s” (海伦司), Helens is a prominent name in the bar industry with over 500 outlets across Mainland China and Hong Kong, as well as three branches in Singapore. Helens has an estimated market capitalisation of S$484 million.
  • Confidential client: Acting for a government-affiliated investment entity, in an investment by its subsidiary into a technology platform business for digital solutions for workforce and human capital management.
  • Ripple: Acted for Ripple Labs Singapore Pte. Ltd. (wholly-owned subsidiary of Ripple Labs Inc.) as Purchaser in its acquisition of a 40% shareholding interest in Tranglo Sdn Bhd (“TSB”), one of Asia’s leading cross-border payments specialists with offices in, amongst others, Malaysia, Singapore, London, Jakarta and the UAE. Ripple is the leading provider of enterprise blockchain solutions for global payments, and its acquisition of 40% of TSB, which is Asia’s leading cross-border payments specialist, would allow Ripple to meet growing demand in the Asia region and expand the reach of its On-Demand Liquidity (“ODL”) solution, which uses the digital asset XRP to send money instantly and reduce working capital needs.
  • Taylor’s Schools: Acted for Taylor’s Schools in the transaction whereby global investment firm KKR acquired a minority stake in Taylor’s Schools. Taylor’s Schools is one of the largest private education groups in Malaysia and owns and operates six award-winning international schools – Garden International School, Nexus International School Singapore, Nexus International School Malaysia, Australian International School Malaysia, Taylor’s International School Kuala Lumpur, and Taylor’s International School Puchong. KKR’s investment positions Taylor’s Schools to accelerate growth and regional expansion.
  • LMS Compliance Ltd.: Acted as issuer’s solicitors in LMS Compliance Ltd’s listing on the Catalist board of the SGX-ST. LMS Compliance Ltd is a laboratory testing and certification services provider based in Malaysia.  
  • Confidential client: Acted as issuer’s solicitors to medical group of clinics of various specialisations in its proposed listing on the Catalist board of the SGX-ST.
  • Confidential client: Acted as issuer’s solicitors to energy and oil logistics group in its proposed listing comprising more than 140,000,000 new shares on the Catalist board of the SGX-ST
  • Confidential client: Acted for company listed on the Catalist board of the SGX-ST in connection with the issuance of S$2.9 million guaranteed bonds
  • Confidential client: Acted for engineering consultancy company in its proposed sale of business to a Swiss multinational company
  • Various clients: Acted as Singapore counsel to international banks in connection with asset financing facilities extended to global maritime groups
  • Various clients: Acting on various public and private corporate and commercial transactions (including cross-border transactions) such as mergers and acquisitions and legal due diligence; drafting and reviewing of, among others, sale and purchase agreements, shareholder agreements, board of directors’ and shareholders’ resolutions; advising on related Singapore law issues, corporate governance, corporate secretarial and compliance matters.
